Terms of Use

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“Member,” “User,” or “you”) and Held & Rooted Inc. (“Held & Rooted,” “we,” “our,” or “us”) governing your access to and use of our website, mobile application, and related services (collectively, the “Platform”).

By accessing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our:

  • Community Guidelines

  • Privacy Policy

  • Data Governance Policy

If you do not agree, you may not access or use the Platform.

1. Eligibility

The Platform is intended for individuals who:

  • Are at least 18 years of age

  • Are legally capable of entering into binding agreements

  • Are mothers or primary caregivers aligned with the mission of Held & Rooted

We reserve the right to verify eligibility and to deny or revoke access at our discretion.

2. Invite-Only Access

Held & Rooted operates as an invite-only, curated community.

Access is granted through:

  • An invitation link

  • Completion of required onboarding

  • Payment of applicable membership contributions

We reserve the right to deny or revoke membership at any time, with or without notice, if we determine access compromises the safety, integrity, or mission of the organization.

Membership is a privilege, not a guaranteed right.

3. Account Registration & Security

You agree to:

  • Provide accurate and complete information

  • Maintain the confidentiality of your login credentials

  • Notify us immediately of unauthorized access

  • Accept responsibility for all activity under your account

We are not liable for losses resulting from unauthorized use of your account.

4. Membership Contributions & Payments

Membership contributions are billed as disclosed at the time of registration.

By submitting payment, you authorize our designated third-party processor to charge the selected amount.

Membership contributions:

  • Support the development, maintenance, security, and protection of the Platform

  • Do not guarantee access to specific programming, events, features, or outcomes

  • Are non-transferable

  • Are non-refundable except where required by law

Additional donations are voluntary and tax-deductible to the extent permitted by law.

Held & Rooted reserves the right to modify pricing with reasonable notice.

Memberships may renew automatically unless canceled prior to the renewal date, if applicable.

5. Community Conduct

By using the Platform, you agree to comply with the Community Guidelines.

You may not:

  • Harass, threaten, or intimidate others

  • Post unlawful, defamatory, or discriminatory content

  • Disclose confidential member information

  • Engage in unauthorized commercial solicitation

  • Attempt to bypass platform safeguards

Held & Rooted is a curated community. Alignment with the mission, tone, and values of the organization is required.

Violation may result in:

  • Content removal

  • Account suspension

  • Termination without refund

We reserve sole discretion in enforcement decisions.

6. Content Moderation & Reporting

Held & Rooted maintains a safety-first moderation model.

  • Content may be reviewed, approved, edited, or removed at our discretion

  • We utilize a combination of human review and assisted moderation tools to protect the community

  • Members may report content, events, or other users through designated reporting features within the Platform

Our goal is to maintain a respectful, safe, and aligned environment for all members.

7. No Private Member-to-Member Messaging

The Platform does not permit private messaging between members.

This structure is intentional to promote transparency, accountability, and safety.

Administrators may contact members privately when necessary.

8. Intellectual Property

All Platform content, including but not limited to:

  • Logos

  • Branding

  • Written materials

  • Design elements

  • Software code

are the property of Held & Rooted Inc. or its licensors and are protected by intellectual property laws.

You may not:

  • Copy

  • Reproduce

  • Distribute

  • Modify

  • Commercialize

any Platform content without prior written permission.

Members retain ownership of content they personally create but grant Held & Rooted a limited, non-exclusive license to display such content within the Platform for community and operational purposes.

9. Research & Data Use

Held & Rooted may conduct surveys, research initiatives, or impact assessments aligned with its nonprofit mission.

Participation in research, surveys, or impact initiatives beyond required onboarding is voluntary unless explicitly disclosed.

We may use anonymized or aggregated data for:

  • Grant reporting

  • Program development

  • Research publications

  • Organizational advancement

We do not sell identifiable personal data.

10. No Professional Advice

Content shared on the Platform is for informational and community purposes only and does not constitute medical, legal, financial, or professional advice.

Members are encouraged to consult qualified professionals for specific concerns.

11. Account Deletion

Members may request deletion of their account and associated personal data at any time through the Platform settings or by contacting us.

Certain data may be retained as required for legal, safety, or operational purposes.

12. Disclaimer of Warranties

The Platform is provided “as is” and “as available.”

We make no warranties, express or implied, including but not limited to:

  • Accuracy of member-generated content

  • Continuous or uninterrupted access

  • Freedom from errors or technical issues

We do not guarantee that the Platform will meet every individual expectation.

13. Limitation of Liability

To the fullest extent permitted by law, Held & Rooted Inc., its directors, officers, employees, volunteers, and affiliates shall not be liable for:

  • Indirect or consequential damages

  • Emotional distress arising from member interactions

  • Loss of data

  • Unauthorized access beyond our reasonable control

Our total liability shall not exceed the amount of membership contributions paid in the preceding twelve (12) months.

14. Indemnification

You agree to indemnify and hold harmless Held & Rooted Inc. from any claims, damages, liabilities, or expenses arising from:

  • Your misuse of the Platform

  • Your violation of these Terms

  • Your infringement of another party’s rights

15. Modifications to the Platform

The Platform is in active development.

We may:

  • Modify features

  • Introduce or remove functionality

  • Update policies

  • Adjust membership offerings

  • Improve or discontinue services

We will provide notice of material policy changes when appropriate.

16. Termination

We reserve the right to:

  • Suspend or terminate accounts

  • Restrict access

  • Remove content

for violations of these Terms or the Community Guidelines.

Termination does not relieve you of obligations incurred prior to termination.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles.

Any disputes arising under these Terms shall be resolved in the appropriate courts located in California.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
